Terms & Conditions
Supply, Installation & Finance Digital Screens

1. Definitions

1.1 “Company” means Get Dynamic and Digital Ltd.
1.2 “Customer” means the purchasing business entity entering into agreement with the Company.
1.3 “Equipment” means digital display screens, mounting systems, brackets, cabling and associated hardware supplied by the Company.
1.4 “Installation Services” means delivery, mounting and commissioning of Equipment.
1.5 “Finance Provider” means any third-party leasing or asset finance company providing funding.
1.6 “CMS” means Content Management Software subscription services.
1.7 “Agreement” means the quotation, order form, finance agreement (if applicable) and these Terms & Conditions.

2. Basis of Contract

2.1 These Terms & Conditions apply to all quotations, orders and contracts.
2.2 Acceptance of a quotation or signing of a finance agreement constitutes acceptance of these Terms.
2.3 No variation shall be binding unless agreed in writing by a director of the Company.

3. Quotations & Pricing

3.1 All quotations are valid for 14 days unless otherwise stated.
3.2 All prices are exclusive of VAT unless expressly stated otherwise.
3.3 VAT will be charged at the prevailing UK rate.
3.4 Weekly pricing examples are subject to finance approval and may vary depending on credit status.
3.5 The Company reserves the right to adjust pricing where manufacturer pricing changes prior to order confirmation.

4. Finance & Lease Agreements

4.1 Where Equipment is funded through lease finance, the finance agreement is between the Customer and the Finance Provider.
4.2 The Company acts solely as supplier and installer.
4.3 Title to Equipment remains with the Finance Provider for the duration of the lease.
4.4 The Customer’s payment obligations under the finance agreement are separate from any warranty or service issues.
4.5 The Company is not liable for decisions made by the Finance Provider.
4.6 Early termination, settlement or upgrade is subject solely to the Finance Provider’s terms.

5. Delivery & Installation

5.1 Delivery timeframes are estimates only (typically 7–10 working days subject to stock).
5.2 Installation dates are indicative and not guaranteed.
5.3 The Company shall not be liable for delays caused by:

  • Manufacturer or supplier delays

  • Courier delays

  • Site readiness issues

  • Finance approval delays

  • Events outside reasonable control

5.4 No penalties, liquidated damages or compensation shall apply for delays in delivery or installation.

6. Site Readiness & Customer Responsibilities

6.1 The Customer is solely responsible for ensuring that the installation site is suitable and safe.

6.2 The Customer must ensure:

  • Adequate structural support for wall or ceiling mounting

  • Reinforced ceiling where required

  • Safe working access

  • Clear and unobstructed installation area

  • Appropriate electrical power supply within required distance

  • Suitable internet connectivity (if CMS is purchased)

  • Compliance with building regulations

6.3 If site conditions differ from those described at quotation stage, installation may be:

  • Delayed

  • Rescheduled

  • Subject to additional charges

6.4 Any additional works required, including:

  • Electrical works

  • Structural reinforcement

  • Access equipment (e.g. scaffold or specialist lifts)

  • Out-of-hours installation

  • Extended cabling

  • Additional labour

shall be chargeable to the Customer.

6.5 Failed installation visits due to site unpreparedness may incur additional charges.

7. Warranty

7.1 All Equipment is covered by the manufacturer’s warranty (typically 3 years unless otherwise specified).

7.2 Warranty support, repair and replacement obligations rest solely with the manufacturer.

7.3 The Company’s responsibility is limited to facilitating contact with the manufacturer.

7.4 The Company does not provide additional hardware warranty beyond that supplied by the manufacturer unless expressly agreed in writing.

7.5 Warranty excludes:

  • Accidental damage

  • Power surges

  • Misuse

  • Environmental damage

  • Third-party interference

  • Improper installation environment

  • Failure to follow manufacturer guidance

7.6 Lifetime technical support, where referenced, is provided by the manufacturer and not by the Company.

8. CMS (Content Management Software)

8.1 CMS is not included unless specified in writing.
8.2 CMS is a separate recurring subscription service.
8.3 CMS fees are non-refundable once activated.
8.4 Dual-sided displays require CMS subscription where different content is displayed on each side.
8.5 The Company is not liable for cloud outages, internet failure or third-party hosting disruption.
8.6 The Customer is solely responsible for all content displayed and warrants that it complies with applicable law.

9. Acceptance

9.1 Installation sign-off by the Customer constitutes acceptance of Equipment.
9.2 Minor cosmetic issues not affecting function shall not constitute grounds for rejection.
9.3 Following acceptance, risk transfers to the Customer (or Finance Provider where applicable).

10. Limitation of Liability

10.1 The Company’s total liability shall not exceed the value of the supply and installation contract.
10.2 The Company shall not be liable for:

  • Loss of profit

  • Loss of revenue

  • Loss of business

  • Loss of goodwill

  • Indirect or consequential loss

  • Business interruption

  • Loss arising from screen downtime

10.3 Nothing in these Terms limits liability for death or personal injury caused by negligence.

11. Cancellation

11.1 Orders cannot be cancelled once Equipment has been ordered from the manufacturer.
11.2 If cancellation occurs after order placement, all reasonable costs incurred will be chargeable.
11.3 Bespoke or special-order items are non-cancellable and non-refundable.

12. Insurance & Risk

12.1 The Customer is responsible for insuring the Equipment from installation date.
12.2 The Customer must maintain adequate public liability insurance covering installed displays.
12.3 The Company is not responsible for theft or vandalism after installation.

13. Force Majeure

The Company shall not be liable for delay or failure to perform due to events beyond its reasonable control including:

  • Supply chain disruption

  • Government restrictions

  • Industrial action

  • Transport failure

  • Natural disasters

14. Intellectual Property

All proposals, pricing structures, business models and marketing materials remain the intellectual property of Get Dynamic and Digital Ltd and may not be reproduced without consent.

15. Governing Law

These Terms are governed by the laws of England and Wales.
Any disputes shall be subject to the exclusive jurisdiction of the English courts.
